Testimony Summary:

Mr. Ivanenko explained that MENATEP acquired YUKOS on friendly terms. Mr. Ivanenko was questioned extensively on a beneficiary agreement signed by Group MENATEP and former senior managers of YUKOS, including Mr. Ivanenko. Also, Mr. Ivanenko was questioned about compensation from several consulting agreements. Mr. Ivanenko explained that he and several other YUKOS executives entered into a compensation agreement which would provide for payments in the form of a percentage from proceeds of the sale of YUKOS shares sold by Group Menatep Limited. Mr. Ivanenko testified that he received payments under consulting agreements. Mr. Ivanenko noted that he declared all of the payments in his income tax filings. Mr. Ivanenko testified that those payments were compensation for his work at YUKOS. According to Mr. Ivanenko, Mr. Khodorkovsky never asked him to do anything that went against his morals and conscience.

Mr. Ivanenko testified that YUKOS was formed by a presidential order and a legislative decree, with crude oil production subsidiaries Yuganskneftegaz and Samaraneftegaz forming some of its most crucial assets. Mr. Ivanenko testified that by the time YUKOS was privatized in 1996, crude oil exports were often handled by middlemen, called "special exporters.' According to Mr. Ivanenko, crude oil production companies never handled their own exports.

Mr. Ivanenko did not have any knowledge about the alleged embezzlement of the entire crude oil production from either Yuganskneftegaz or Samaraneftegaz. Mr. Ivanenko testified that during the time he worked at YUKOS, security service uncovered attempts to steal crude oil using fictitious documents. He confirmed that none of the attempted thefts was for volumes in millions of tons.
